Terms of Service
Last updated October 26, 2026
These terms govern your access to and use of Intelio's platform, website, and related services. Please read them carefully — they include important information about billing, your data, and the limits of our liability.
1. Acceptance of these terms
These Terms of Service ("Terms") are a binding agreement between Softvira LLC, which operates Intelio ("Intelio", "we", "us"), and the person or organization that registers for or uses the Service ("you", "Customer").
By creating an account, signing an order form, or using the Service, you agree to these Terms. If you are accepting on behalf of an organization, you represent that you have authority to bind that organization.
If you do not agree to these Terms, do not use the Service.
2. The Service
Intelio provides a cloud-based property management platform for hotels and other accommodation providers, including reservations, front desk, housekeeping, rates and distribution, payments, guest messaging, point of sale, and reporting (collectively, the "Service").
We may add, change, or remove features over time. We will not make a change that materially reduces the core functionality of a paid plan during your then-current subscription term without notice.
3. Accounts and access
You are responsible for the accuracy of the information you provide and for all activity that occurs under your account.
You must keep login credentials confidential, use strong authentication where available, and notify us promptly of any suspected unauthorized access.
You are responsible for the acts and omissions of your users, including staff and contractors you invite to the Service.
4. Acceptable use
You agree not to:
- •use the Service in violation of any applicable law or third-party right;
- •upload malicious code or attempt to gain unauthorized access to the Service or its infrastructure;
- •probe, scan, or load-test the Service without our prior written consent;
- •resell, sublicense, or provide the Service to a third party except your own users;
- •use the Service to send unlawful, deceptive, or unsolicited bulk messages; or
- •reverse engineer the Service except to the extent that restriction is prohibited by law.
We may suspend access if your use poses a security risk, may disrupt the Service for others, or violates these Terms, and we will restore access once the issue is resolved.
5. Customer data
You retain all rights to the data you and your guests submit to the Service ("Customer Data").
You grant us a limited license to host, process, and transmit Customer Data as needed to provide and support the Service, to prevent or address security or technical issues, and as otherwise permitted by these Terms and our Privacy Policy.
You are responsible for having the legal basis to collect and share guest personal data with us, and for providing any notices and obtaining any consents required by law.
Our handling of personal data is described in the Privacy Policy, which forms part of these Terms.
6. Fees and payment
Paid plans are billed in advance on the cycle stated in your order form or checkout (monthly or annual). Fees are non-refundable except where required by law or expressly stated in these Terms.
Unless your order form says otherwise, subscriptions renew automatically for successive terms of the same length. You or we may decline renewal by giving notice before the end of the current term.
We may change plan pricing effective at your next renewal by giving at least 30 days' notice.
Fees are exclusive of taxes; you are responsible for applicable sales, use, VAT, GST, or similar taxes. Overdue amounts may accrue interest and may lead to suspension after reasonable notice.
Payment processing, card data handling, and payout timing for transactions you take through the Service are governed by our payment processor's terms in addition to these Terms.
7. Free trials and beta features
If you use a free trial, the Service is provided for evaluation only and may be modified or discontinued at any time. Unless you convert to a paid plan, your data from the trial may be deleted at the end of the trial period.
Features labelled "beta", "preview", or "early access" are provided as-is, may be changed or withdrawn, and are excluded from any service-level commitment.
8. Third-party services
The Service integrates with third-party products such as payment processors, channel managers, online travel agencies, messaging providers, and mapping and analytics tools.
Your use of a third-party service is governed by that provider's own terms, and we are not responsible for third-party services or for data you choose to share with them.
9. Text messaging terms
Guests who opt in — by ticking the "Text me about my stay" box when booking online, or by asking the front desk — receive text messages from the hotel through Intelio about their stay: booking confirmations, check-in details, replies to their requests, and occasional offers from that hotel.
Message frequency varies. Message and data rates may apply. Reply STOP to cancel at any time; you will receive one confirmation and no further messages. Reply HELP for help, or contact the hotel directly. Carriers are not liable for delayed or undelivered messages.
Consent to receive texts is not a condition of booking. See our Privacy Policy for how phone numbers are handled — mobile information is never shared with third parties for marketing.
10. Intellectual property
The Service, including its software, design, and documentation, is owned by Intelio and its licensors and is protected by intellectual-property laws.
Subject to these Terms, we grant you a non-exclusive, non-transferable right to access and use the Service during your subscription term for your internal business purposes.
If you send us feedback or suggestions, you grant us a perpetual, royalty-free license to use them to improve the Service.
11. Availability and support
We aim to keep the Service available and will use commercially reasonable efforts to provide advance notice of planned maintenance.
Support channels and any service-level targets applicable to your plan are described in your order form or on our pricing page.
12. Disclaimers
Except as expressly stated in these Terms, the Service is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
We do not warrant that the Service will be uninterrupted, error-free, or that it will meet every requirement of your business.
13. Limitation of liability
To the maximum extent permitted by law, neither party will be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill, arising out of or relating to these Terms or the Service.
Each party's total aggregate liability arising out of or relating to these Terms will not exceed the fees paid or payable by you for the Service in the 12 months before the event giving rise to the claim.
These limitations do not apply to your payment obligations, either party's indemnification obligations, or liability that cannot be limited under applicable law.
14. Indemnification
You will defend and indemnify Intelio against third-party claims arising from your Customer Data, your use of the Service in violation of these Terms or applicable law, or your violation of a third party's rights.
We will defend and indemnify you against third-party claims that the Service, as provided by us and used in accordance with these Terms, infringes that third party's intellectual-property rights.
15. Term and termination
These Terms apply for as long as you have an account or use the Service.
Either party may terminate for the other's material breach that remains uncured 30 days after written notice. You may stop using the Service and close your account at any time; closing your account does not entitle you to a refund of prepaid fees except where required by law.
On termination, your right to use the Service ends. We will make Customer Data available for export for 30 days after termination, after which we may delete it in the ordinary course, subject to legal retention requirements.
16. Changes to these terms
We may update these Terms from time to time. If we make a material change, we will give notice by email or in the Service before the change takes effect.
Your continued use of the Service after the effective date of an updated version constitutes acceptance of the change.
17. General
These Terms, together with the Privacy Policy and any order form, are the entire agreement between the parties on their subject matter and supersede prior discussions.
If a provision is found unenforceable, the rest remains in effect. A failure to enforce a provision is not a waiver of it.
You may not assign these Terms without our consent, except to a successor in a merger or sale of substantially all assets. We may assign these Terms to an affiliate or successor.
These Terms are governed by the laws of the jurisdiction in which Intelio is established, without regard to conflict-of-laws rules, and the courts of that jurisdiction have exclusive jurisdiction over disputes, subject to any mandatory consumer-protection rights you have where you live.
